1.1 These Terms of Use ("Terms") govern your access to and use of the website located at www.biz-intell.com and any related pages, subdomains, portals, content, features, and services made available by Business Intelligence and Data Services Limited ("Biz-Intell", "we", "us", or "our") through that website (collectively, the "Site").
1.2 The Site is owned and operated by Business Intelligence and Data Services Limited, a company incorporated in the Federal Republic of Nigeria with registration number RC 1050213, whose registered office is at No 9, Shina Egberongbe Crescent, GRA, Ibara Housing Estate, Abeokuta, Ogun State, Nigeria.
1.3 By accessing, browsing, or otherwise using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Site immediately.
1.4 These Terms apply to all visitors to the Site, whether or not you engage our services. Where you engage Biz-Intell for professional services, the terms of the applicable Master Services Agreement, Statement of Work, licence agreement, or written proposal ("Services Agreement") shall govern that engagement, and these Terms shall apply only to your general use of the Site.
2. Definitions
In these Terms, unless the context otherwise requires:
"Content" means all text, graphics, logos, images, audio, video, software, data compilations, reports, documents, and other materials appearing on the Site.
"User", "you", or "your" means any person who accesses or uses the Site.
"Portal" means any password-protected or restricted-access area of the Site made available to clients, partners, or authorised users.
"Personal Data" has the meaning ascribed to it under the Nigeria Data Protection Act 2023 and any applicable subsidiary legislation.
3. Purpose and Scope of the Site
3.1 The Site is provided for general informational and business purposes only. It is intended to describe Biz-Intell's capabilities, solutions, and service offerings, and to facilitate enquiries and engagement with prospective and existing clients.
3.2 The Site does not, by itself, constitute an offer capable of acceptance, nor does it create any contractual relationship between you and Biz-Intell. All engagements are subject to a separately executed Services Agreement.
3.3 Any descriptions, screenshots, demonstrations, case references, or solution outlines published on the Site are illustrative and indicative only. Actual deliverables, functionality, timelines, and pricing are determined solely through written agreement between the parties.
4. Eligibility and Authorised Use
4.1 By using the Site, you represent and warrant that:
(a) you have the legal capacity to enter into binding agreements under Nigerian law; and
(b) where you access the Site on behalf of a company, partnership, or other legal entity, you are duly authorised to bind that entity to these Terms.
4.2 Where access to a Portal is granted to you in your capacity as an employee, contractor, or authorised representative of a client or partner organisation, you agree to use that Portal strictly in accordance with the permissions granted to you and any additional terms communicated at the time of access.
5. Acceptable Use
5.1 You agree to use the Site lawfully and responsibly. You shall not:
(a) use the Site in any manner that breaches any applicable law, regulation, or regulatory directive in Nigeria or any other relevant jurisdiction;
(b) attempt to gain unauthorised access to any part of the Site, its servers, databases, or any connected systems;
(c) introduce viruses, malware, ransomware, trojans, worms, logic bombs, or any other harmful or disruptive code;
(d) conduct any denial-of-service or distributed denial-of-service attack, or otherwise interfere with or disrupt the operation of the Site;

(f) use automated bots, scripts, or similar technologies to access the Site other than standard search engine indexing;
(g) impersonate Biz-Intell, any of its personnel, or any other person or entity;

(i) reproduce, duplicate, resell, or exploit any part of the Site for commercial purposes without our express written permission; or
(j) use the Site in any way that could damage the reputation, goodwill, or legitimate business interests of Biz-Intell or any third party.
5.2 We reserve the right to investigate any suspected breach of this Clause 5 and to report suspected unlawful activity to the relevant law enforcement or regulatory authorities.
6. Intellectual Property Rights
6.1 All intellectual property rights in and to the Site and its Content — including but not limited to copyright, trademarks, trade names, design rights, database rights, and know-how — are owned by or licensed to Biz-Intell, and are protected under the laws of the Federal Republic of Nigeria and applicable international treaties.
6.2 Subject to your compliance with these Terms, you are granted a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to view and print pages from the Site solely for your own internal, non-commercial reference or for the purpose of evaluating Biz-Intell's services.
6.3 You may not, without our prior written consent:
(a) copy, modify, adapt, translate, or create derivative works from any Content;
(b) distribute, publish, transmit, display, or publicly perform any Content;
(c) remove, obscure, or alter any copyright, trademark, or proprietary notices; or
(d) use any Biz-Intell name, logo, or mark in a manner that suggests endorsement, partnership, or affiliation without authorisation.
6.4 Third-Party Trademarks. Infor, SunSystems, Infor d/EPM, Infor Document Management, Infor Query & Analysis, and Remita, together with any other third-party product names, logos, and marks appearing on the Site, are the trademarks or registered trademarks of their respective owners. Their appearance on the Site is for identification and descriptive purposes only and does not imply any endorsement, sponsorship, or affiliation beyond our documented partner relationships. All rights in such marks remain with their respective owners.
7. Client Portals, Accounts, and Credentials
7.1 Where the Site provides access to a Portal, you may be required to register an account and create login credentials.
7.2 You agree to:
(a) provide accurate, current, and complete information during registration;
(b) maintain the confidentiality of your credentials and not share them with any third party;
(c) notify us immediately at privacy@biz-intell.com upon becoming aware of any unauthorised use of your account or any security breach; and
(d) accept responsibility for all activity occurring under your account.
7.3 We reserve the right to suspend or terminate any account, and to restrict or withdraw Portal access, at any time where we reasonably believe these Terms have been breached or where continued access presents a security or legal risk.
8. Enquiries, Quotations, and Communications
8.1 Any enquiry submitted through the Site does not create a binding contract. We may respond to enquiries at our discretion and within reasonable timeframes.
8.2 Any indicative pricing, timelines, or scope referenced in Site content or initial correspondence are estimates only and are subject to formal scoping, due diligence, and execution of a Services Agreement.
8.3 By submitting an enquiry or providing your contact details, you consent to being contacted by Biz-Intell regarding your enquiry. You may withdraw this consent at any time by written notice to privacy@biz-intell.com.
9. Confidentiality
9.1 Information transmitted through general website enquiry forms is not treated as confidential. You should not submit confidential, proprietary, or commercially sensitive information through open website forms.
9.2 Where you are an existing client or party to a Services Agreement, all information exchanged under that agreement shall be governed by the confidentiality provisions contained therein, which shall prevail over this Clause 9 in the event of any conflict.
9.3 Where you wish to share confidential information in the course of a procurement or evaluation process, please request a mutual non-disclosure agreement from us in advance.
10. Data Protection and Privacy
10.1 Biz-Intell is committed to protecting Personal Data in accordance with the Nigeria Data Protection Act 2023, the Nigeria Data Protection Commission's regulations and directives, and other applicable data protection laws.
10.2 Where we collect Personal Data through the Site — for example, through enquiry forms, newsletter subscriptions, or Portal registration — we process such data for legitimate business purposes, including responding to enquiries, delivering services, maintaining security, and complying with legal obligations.
10.3 Our full data processing practices, including the lawful bases for processing, retention periods, and your rights as a data subject, are set out in our Privacy Policy, which forms part of these Terms by reference.

14. Indemnity
14.1 You agree to indemnify, defend, and hold harmless Biz-Intell and its directors, officers, employees, consultants, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your breach of these Terms;
(b) your misuse of the Site or any Content;
(c) your violation of any applicable law or the rights of any third party; or
(d) any content or information you submit through the Site.

20.2 We may assign or transfer our rights and obligations under these Terms to any affiliate or successor entity, including in connection with a merger, acquisition, or sale of assets, without your consent.
21. Governing Law and Jurisdiction
21.1 These Terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
21.2 Subject to Clause 22, the courts of Ogun State, Nigeria shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Site.
22. Dispute Resolution
22.1 The parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiations between senior representatives of each party.
22.2 Where a dispute is not resolved within thirty (30) days of written notice, the parties may refer the matter to mediation, and failing resolution, to arbitration in accordance with the Arbitration and Mediation Act 2023, with the seat of arbitration in Abeokuta, Nigeria, and proceedings conducted in English.
22.3 Nothing in this Clause shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
23. Entire Agreement
23.1 These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Biz-Intell in respect of your use of the Site, and supersede all prior discussions, representations, and understandings relating to that subject matter.
23.2 Where a Services Agreement exists between you and Biz-Intell, these Terms shall not override, vary, or replace that agreement in respect of the professional services governed by it.

For the purposes of the NDPA, Biz-Intell acts as a Data Controller in respect of Personal Data collected through our website and in the course of our general business operations. Where we process Personal Data on behalf of a client under a services agreement, we act as a Data Processor and process such data strictly in accordance with the client's instructions and our Data Processing Agreement.

Where we act as a Data Controller, our service providers act as Data Processors. Where we act as a Data Processor for a client, we engage sub-processors only with the client's authorisation and under equivalent data protection terms.
7.2 Technology Partners
Where the delivery of our services involves collaboration with technology partners — such as Infor or other platform providers — we may share Personal Data to the extent necessary to fulfil the engagement, subject to appropriate confidentiality safeguards.
7.3 Professional Advisers
We may disclose Personal Data to legal advisers, auditors, accountants, and insurers where necessary for the proper conduct of our business.
7.4 Legal and Regulatory Disclosures
We may disclose Personal Data where required by law, regulation, court order, or a lawful request from a competent authority, including the NDPC, law enforcement agencies, and tax authorities.
7.5 Business Transfers

You have the right to request confirmation of whether we process your Personal Data and, where we do, to receive a copy of that data together with information about the processing.
9.3 Right to Rectification
You have the right to request correction of inaccurate or incomplete Personal Data.
9.4 Right to Erasure ("Right to Be Forgotten")
You have the right to request deletion of your Personal Data where it is no longer necessary for the purpose for which it was collected, where you withdraw consent, or where processing is unlawful — subject to legal retention obligations.
9.5 Right to Restrict Processing
You have the right to request that we restrict the processing of your Personal Data in certain circumstances — for example, while accuracy is being verified or while an objection is being considered.

(c) where the breach is likely to result in a high risk to your rights and freedoms, notify you directly without undue delay, providing clear information about the nature of the breach, the likely consequences, and the measures we have taken or propose to take; and
(d) document the breach, our response, and any remedial actions taken.
12. Cross-Border Data Transfers
Biz-Intell is based in Nigeria and primarily processes Personal Data within Nigeria. Where we transfer Personal Data outside Nigeria — for example, to a cloud hosting provider, technology partner, or subcontractor located in another jurisdiction — we ensure that at least one of the following safeguards is in place, as required by Sections 41 to 43 of the NDPA:
(a) the recipient country benefits from an adequacy decision by the NDPC;
(b) the transfer is governed by a Cross-Border Data Transfer Instrument (CBDTI) approved by the NDPC;
(c) the transfer is necessary for the performance of a contract with you or your organisation;
(d) you have given explicit consent to the transfer after being informed of the risks; or
(e) another lawful basis under the NDPA and GAID applies.
Where we engage processors outside Nigeria, we ensure that equivalent data protection obligations are imposed through contractual arrangements.
